An investment fund headed by Roy Disney is pushing for changes at Panera Bread Co. after buying a 5.46 percent stake in the operator of bakery-cafés.
In a filing Friday, the Shamrock Activist Value Fund of Burbank, Calif., said it had bought 1.7 million Panera shares for $72.7 million. Disney, a former director of Walt Disney Co. and a nephew of the late Walt Disney, heads the fund along with Stanley P. Gold, another former Disney director.
In the filing, the fund criticized Paneras corporate governance, saying it “impedes accountability” in ways that may hurt shareholders. The fund said it had asked Panera to make several changes, including:
•Electing directors annually, instead of electing groups of directors with staggered, overlapping terms.

•Separating the jobs of chief executive and chairman.
•Converting the companys Class B shares, which have more voting power, to Class A common shares.
•Expanding the board by adding new members with operating experience.
—Improving disclosure of executive pay to show what performance measures are used to determine compensation.
Ronald M. Shaich currently serves as chairman and chief executive. Panera had four directors, including Shaich, when it filed its proxy last spring.

Walt Disney World announced on Wednesday that theyll build a new state-of-the-art health care clinic for their employees.
Despite a workforce scattered across Central Florida, Disney officials said it made sense to have a health care option where employees would find it convenient and ready to use.
While Mickey and Minnie Mouse are Disneys most visible ambassadors, theyre not much for words. So others were talking up the latest Disney project, a $6 million primary health care facility, where cast members can meet with doctors, get prescriptions filled and get basic tests and checkups.
“We live in an era where employers and employees must work very closely together, each taking a role in finding solutions,” Disney President of Worldwide Operations Al Weiss said.
“This onsite facility will be right here, with extended hours for our cast members through the day and on the weekend and will make getting health care much more available to them,” Walt Disney World President Meg Crofton said.
Disney officials hope a convenient location and hours will make for a healthier workforce.

The Disneyland Resort has filed for a liquor license for Disneyland Park, and the required public notice posting seems to be causing some raised eyebrows. In fact, we’re told this license is intended only to cover special events inside Disneyland, like movie premieres and private parties. Previously, they have just pulled a special permit for each event; now they will have a standing park-wide permit. Alcohol will not be sold during normal operating hours at Disneyland, with the usual exception of Club 33, so you won’t be able to get a mimosa at River Belle Terrace when it reopens.

Tokyo Disneyland had a power system failure yesterday at around 6:10 p.m., disrupting the operation of 25 of its 41 rides, the Yomiuri newspaper said, citing Oriental Land Co., which operates the theme park.
Oriental Land said nobody was injured, Yomiuri reported on its Web site, without giving details on what caused the outage. Most of the rides eventually resumed operation, the report said.
There were about 40,000 visitors at the theme park when the power went down. Oriental Land gave tickets for use at a later date to people who couldnt get on the rides. The disrupted rides include Space Mountain and Big Thunder Mountain, Yomiuri said.
